PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15, WHICH AFFECT YOUR LEGAL RIGHTS.

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Chambr, Inc. ("Chambr," "we," "us," or "our"), governing your access to and use of the Chambr consumer sales-roleplay platform, including our website at app.chambr.ai, mobile and web applications, and related services (collectively, the "Service"). These Terms apply to individual accounts, whether on our Free Plan or a Paid Plan, as described in Section 5. If you access the Service on behalf of a company or organization under a separate business agreement with Chambr, these Terms do not apply to that use — your organization's agreement controls instead.

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account or use the Service. By using the Service, you represent and warrant that you meet these requirements and that all registration information you submit is accurate and truthful. The Service is not directed to, and we do not knowingly collect personal information from, anyone under 18. If we learn that a User is under 18, we will terminate that account.

2. Description of the Service

Chambr provides an AI-powered sales roleplay and coaching platform. Through the Service, you engage in simulated, voice-based sales conversations with AI-generated personas ("AI Personas"), and receive automated performance scoring, feedback, and coaching insights based on those conversations ("Session Data").

The Service is offered on a Free Plan and one or more Paid Plans, which differ in features, usage limits, and data-use terms as described in Sections 5 and 8. We may add, modify, or discontinue features of the Service at any time.

3. Your Account

You must register for an account to use the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at the contact address in Section 20 if you suspect unauthorized use of your account. We are not liable for any loss arising from unauthorized access resulting from your failure to safeguard your credentials.

4. AI Personas and Automated Feedback

The AI Personas you interact with, and any scores, transcripts, coaching feedback, or performance insights the Service generates (collectively, "AI Outputs"), are produced by artificial intelligence and machine learning systems. AI Outputs are provided for training and educational purposes only.

AI Outputs may be inaccurate, incomplete, or reflect biases in the underlying models, and do not constitute professional, sales-certification, employment, or legal advice.

Nothing said by an AI Persona reflects the views of Chambr, and AI Personas do not represent real people, companies, or endorsements.

You should independently evaluate any coaching feedback before relying on it, and Chambr is not responsible for business outcomes resulting from your use of AI Outputs.

5. Plans, Billing, and Auto-Renewal

5.1 Free Plan

We offer a Free Plan with limited features and usage. We may change, limit, or discontinue Free Plan features at any time without liability to you.

5.2 Paid Plans

Paid Plans are offered on a recurring monthly subscription basis. There is no free trial for Paid Plans; your subscription and billing begin immediately upon purchase. By subscribing, you authorize us (or our third-party payment processor) to charge your chosen payment method the applicable subscription fee, plus applicable taxes, on each monthly billing date.

5.3 Auto-Renewal

PAID PLANS AUTOMATICALLY RENEW EACH MONTH UNLESS YOU CANCEL BEFORE THE NEXT BILLING DATE. You may cancel at any time through your account settings; cancellation takes effect at the end of the then-current billing period, and you will retain access to Paid Plan features through that date. Except as required by law, fees already paid are non-refundable, including for partial billing periods.

5.4 Price Changes

We may change subscription pricing from time to time. We will provide notice of any price increase before it applies to your next billing cycle; continued use of a Paid Plan after a price change takes effect constitutes acceptance of the new price.

5.5 Payment Failure

If a payment fails, we may suspend or downgrade your access to Paid Plan features until payment is resolved.

6. Your Content and License to Chambr

"User Content" means all audio, voice recordings, transcripts, text, session recordings, and other content you submit to or generate through the Service, including during roleplay sessions with AI Personas.

You retain ownership of your User Content. By using the Service, you grant Chambr a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, process, and create derivative works from your User Content solely to: (a) operate, provide, maintain, and improve the Service for you; (b) generate your scoring and coaching feedback; and (c) as described in Section 8 (AI Model Training). This license continues for content already incorporated into aggregated or anonymized datasets or model improvements even after account deletion, as described in Section 8.

You represent that you have all rights necessary to grant this license and that your User Content does not infringe any third party's rights or violate any law.

7. Voice Recording and Session Data

The Service is voice-based. When you participate in a roleplay session, we record, transcribe, and store your audio, along with associated session metadata and performance scoring ("Session Recordings"). By using the voice features of the Service, you consent to this recording and to Chambr's processing of your voice as described in these Terms and our Privacy Policy.

Session Recordings are retained as described in our Privacy Policy and are used to provide your scoring and feedback, to maintain a history of your practice sessions, and — subject to Section 8 — to improve our AI models. If you use the Service in a jurisdiction with two-party consent requirements for recorded conversations, you confirm that you are the sole party to the roleplay conversation (the other "party" being an AI Persona, not a natural person) and that your own consent as given here is sufficient.

8. Use of Your Data to Train Our AI Models

Chambr uses User Content and Session Recordings, in anonymized and/or aggregated form, to train, evaluate, and improve our AI models, AI Personas, and scoring systems ("Model Training"). Before use in Model Training, we remove or mask direct identifiers (such as your name and account identifiers) from your data in accordance with our Privacy Policy.

By using the Service, on either the Free Plan or a Paid Plan, you agree that your User Content and Session Recordings may be used for Model Training. This applies uniformly across all plans, and no opt-out is available.

8.1 What This Means

We do not sell your personal data to third parties.

Model Training uses anonymized/aggregated data; it is not intended to memorize or reproduce your specific identity or verbatim conversations back to other users.

Deleting your account stops future collection, but does not retroactively remove your contribution to models already trained, consistent with how AI training works generally.

9. Privacy

Our collection and use of personal information in connection with the Service, including Session Recordings and User Content, is described in our Privacy Policy, available at trust.chambr.ai, which is incorporated into these Terms by reference.

10. Acceptable Use

When using the Service, you agree that you will not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose;
  • Direct abusive, harassing, hateful, sexually explicit, or threatening language at an AI Persona or attempt to use roleplay sessions to generate such content;
  • Attempt to reverse engineer, extract, or replicate the underlying AI models, prompts, or system architecture powering the Service;
  • Use the Service to build, train, or improve a competing product or service;
  • Use automated means (bots, scrapers) to access the Service other than through our supported interfaces;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Upload or transmit content that infringes any third party's intellectual property or privacy rights;
  • Interfere with or disrupt the integrity or performance of the Service, including introducing malware;
  • Share your account credentials with, or provide access to, any third party.
  • We may investigate and take appropriate action against anyone who violates this Section, including suspending or terminating accounts and reporting conduct to law enforcement where warranted.

    11. Intellectual Property

    The Service, including its software, AI models, AI Personas, designs, text, graphics, and all related intellectual property (excluding your User Content), is owned by Chambr or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, we grant you no license or right to our intellectual property. All feedback or suggestions you provide about the Service may be used by us without restriction or compensation to you.

    12. Third-Party Services

    The Service relies on third-party infrastructure (including speech, voice-synthesis, and AI model providers) to operate. We are not responsible for the availability or performance of third-party services outside our reasonable control.

    13. Suspension and Termination

    You may stop using the Service and delete your account at any time through account settings or by contacting us. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately; Sections 6, 8, 9, and 14–19 survive termination.

    14. Disclaimers

    THE SERVICE, INCLUDING ALL AI OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE, AND RELY ON ANY AI OUTPUT, AT YOUR OWN RISK.

    15. Binding Arbitration and Class Action Waiver

    PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

    15.1 Agreement to Arbitrate

    You and Chambr agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The AAA's Consumer Arbitration Rules and related procedures are available at adr.org. For claims under $10,000, either party may choose to have the arbitration conducted by telephone or based on written submissions only, at that party's option.

    15.2 Class Action Waiver

    YOU AND CHAMBR EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

    15.3 Exceptions

    Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality obligations.

    16. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMBR AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CHAMBR'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CHAMBR IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

    Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

    17. Indemnification

    You agree to indemnify and hold harmless Chambr and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your User Content, or your misuse of the Service.

    18. Governing Law

    These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 15. Subject to Section 15, the state and federal courts located in California will have exclusive jurisdiction over any Dispute not subject to arbitration.

    19. Changes to These Terms

    We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or an in-Service notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

    20. General Terms

    20.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chambr regarding the Service and supersede any prior agreements.

    20.2 Severability

    If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

    20.3 No Waiver

    Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

    20.4 Assignment

    You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
